Both parties agree to maintain the confidentiality of each other's proprietary information disclosed during the engagement. "Confidential Information" includes business plans, financial data, technical specifications, client lists, and any information marked as confidential.
Confidentiality obligations survive termination of the engagement for a period of 3 years. Exceptions include information that is publicly available, independently developed, or required to be disclosed by law.

Warranty period: We provide a 30-day warranty period after project go-live during which we will fix any defects in our deliverables at no additional charge, provided the defect arises from our work and not from Client modifications or third-party actions.

You agree to indemnify, defend, and hold harmless UVTech Global Private Limited and its officers, directors, employees, and contractors from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
By either party: Either party may terminate a project engagement by giving the notice period specified in the SoW (typically 30 days written notice). All work completed and expenses incurred up to the notice date are payable.
For cause: Either party may terminate immediately upon written notice if the other party materially breaches these Terms or the SoW and fails to remedy the breach within 14 days of receiving written notice.
Effect of termination: Upon termination, UVTech will deliver all completed work product (upon receipt of payment for work performed to date), and each party will return or destroy the other's confidential information. Sections on IP, confidentiality, limitation of liability, and governing law survive termination.

These Terms and any disputes arising from them are governed by the laws of India. The parties agree to first attempt to resolve disputes through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India, with proceedings conducted in English in Vallabh Vidyanagar, Gujarat, India.
Notwithstanding the above, either party may seek urgent injunctive or equitable relief from a court of competent jurisdiction.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. For active client engagements, material changes to Terms will be communicated by email with 30 days' notice before taking effect. Your continued use of our Website or services after the effective date constitutes acceptance of the updated Terms.
